Terms and Conditions

1.-Definitions
In these Terms:
- «DecreaMedia,» «we,» «us,» «our» means ERICK UNTIVEROS LAZARO, operating under the brand DecreaMedia, based in Huancayo, Peru.
- «Plugins» means the Vocalia plugin and/or the Zellia plugin, including their code, updates, and documentation.
- «Vocalia» is our AI voice-agent plugin for general and informational WordPress websites.
- «Zellia» is our AI voice-agent plugin for WooCommerce stores.
- «You,» «User» means the individual or entity that installs or uses the Plugins on a WordPress site.
- «End Visitor» means a person who interacts with the voice agent on your website.
- «BYOK» means the «bring-your-own-key» model, under which you supply your own OpenAI API key.
- «AI Provider» means OpenAI, whose Realtime API powers the voice functionality.
2.-The Plugins
Vocalia and Zellia add a real-time AI voice agent to a WordPress (and, for Zellia, WooCommerce) website. The voice agent communicates with the AI Provider through the OpenAI Realtime API over a WebRTC connection, and uses our backend service (hosted at agente.emprenda.pro) to issue short-lived session credentials and coordinate the connection. The Plugins are provided as software you install and configure; you are responsible for how you deploy and use them on your site.
3.-License & Eligibility
Subject to these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Plugin(s) on the number of websites permitted by your purchased plan. You must be at least 18 years old and able to form a binding contract.
You may not, except as permitted by law:
- Resell, sublicense, rent, or redistribute the Plugins as a standalone product;
- Remove or alter any copyright, trademark, or license notices;
- Reverse-engineer, decompile, or attempt to extract source code except to the extent this restriction is prohibited by applicable law;
- Circumvent license validation, which is handled through our licensing service at canje.decreamedia.com.
4.-AppSumo Lifetime Licenses
If you obtained a license through AppSumo, the following applies in addition to these Terms:
- Your license is a lifetime license for the plan tier corresponding to the number of AppSumo codes you redeemed (code stacking). For example: 1 code = Personal (1 site), 2 codes = Agency (3 sites), 3 codes = Advanced (10 sites), or as otherwise stated on the AppSumo deal page.
- «Lifetime» means for the lifetime of the product as commercially offered by DecreaMedia; it does not guarantee perpetual availability of any third-party service the Plugins depend on (such as the OpenAI Realtime API).
- Redemption, refunds, and code stacking for AppSumo purchases are also governed by AppSumo’s own terms and its refund policy.
- Feature entitlements are mapped to your plan tier at the time of redemption through our licensing service.
5.-Bring Your Own Key (BYOK)
The Plugins operate on a BYOK basis. You must provide your own valid OpenAI API key to enable the voice agent. You acknowledge and agree that:
- You are solely responsible for all usage and costs billed by OpenAI to your API key, including usage generated by End Visitors on your site.
- You are responsible for keeping your API key secure and for setting any spending limits or usage caps in your OpenAI account.
- Your use of the OpenAI API is subject to OpenAI’s own terms and usage policies, and you agree to comply with them.
- We store your API key in encrypted form on our backend for the sole purpose of establishing the voice connection, and we do not use it for any other purpose. See our Privacy Policy.
- We are not responsible for changes to OpenAI’s pricing, availability, models, or policies, or for any service interruption caused by the AI Provider.
6.-Third-Party Services
The Plugins rely on third-party services to function, including OpenAI (Realtime API), our hosting and backend infrastructure, and, for purchases and licensing, our payment and email providers (such as AppSumo, Dodo Payments, Paddle, Resend, and Affonso). Your use of those services may be subject to their own terms. We are not responsible for the acts, omissions, availability, or content of third parties, and we do not warrant any third-party service.
7.-Acceptable Use
You agree not to use the Plugins to:
- Violate any law or the rights of any person, including privacy and data-protection laws;
- Collect voice or personal data from End Visitors without providing them adequate notice and, where required, obtaining consent;
- Generate or facilitate content that is unlawful, harmful, deceptive, harassing, or infringing;
- Attempt to disrupt, overload, or gain unauthorized access to our backend, licensing service, or any related system;
- Misrepresent the AI agent as a human where such disclosure is required by law.
You are the data controller for personal data of your End Visitors. You are responsible for maintaining a privacy notice on your own site that discloses the use of an AI voice agent and any processing of voice or personal data.
8.-Fees & Payment
Direct purchases (outside AppSumo) are processed by our payment providers, Dodo Payments and Paddle, who may act as merchant of record and handle applicable taxes. Prices and plan features are shown at the point of purchase. AppSumo purchases are processed by AppSumo under its own terms. Note that the BYOK model means OpenAI usage costs are separate and billed directly to you by OpenAI; they are not included in any plan fee.
9.-Intellectual Property
The Plugins, including all code, design, mascots, trademarks (including «Vocalia,» «Zellia,» and «DecreaMedia»), and documentation, are and remain the exclusive property of DecreaMedia and its licensors. No rights are granted to you except the limited license expressly set out in these Terms. Any content, configuration, or knowledge-base material you supply remains yours; you grant us a limited license to process it only as needed to provide the Plugins.
10.-Updates & Support
We may provide updates, bug fixes, and new features from time to time. We may also modify or discontinue features. Support is provided through the channels indicated on our website or your purchase platform, at the level associated with your plan. We do not guarantee any specific response time unless expressly stated.
11.-Disclaimers
The Plugins are provided «as is» and «as available,» without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Plugins will be uninterrupted, error-free, or secure, or that the AI agent’s responses will be accurate, complete, or suitable for any purpose. AI-generated output may be inaccurate; you are responsible for reviewing it before relying on it.
12.-Limitation of Liability
To the maximum extent permitted by law, DecreaMedia will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Plugins — including any OpenAI API costs incurred through your key. Our total aggregate liability for any claim relating to the Plugins will not exceed the amount you actually paid us for the Plugin giving rise to the claim in the twelve (12) months before the event, or [USD 50] if you paid nothing directly to us.
13.-Indemnification
You agree to indemnify and hold harmless DecreaMedia from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Plugins, your content, your handling of End Visitor data, or your breach of these Terms or applicable law.
14.-Termination
We may suspend or terminate your license if you materially breach these Terms. Upon termination, you must stop using the Plugins and remove them from your sites. Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, and Indemnification) will survive.
15.-Changes to the Terms
We may update these Terms from time to time. When we do, we will revise the «Last updated» date above and, where changes are material, provide reasonable notice. Your continued use of the Plugins after changes take effect constitutes acceptance of the revised Terms.
16.-Governing Law
These Terms are governed by the laws of the Republic of Peru, without regard to conflict-of-law rules. Any dispute will be subject to the exclusive jurisdiction of the competent courts of Huancayo / Lima, Peru, unless mandatory consumer-protection law grants you a different forum.
